Definition of Limited Liability Company (PT)
     The term Limited Liability Company (PT) formerly known as Naamloze Vennootschap (NV). Other terms Corporate Limited (Co. Ltd.), Trade Union Benhard (SDN BHD). Definition of a Limited Liability Company consists of two words, namely "company" and "limited". PT refers to the capital of the Company consisting of sero-sero or stocks. The word refers to the holder of a limited extent only in the nominal value of all shares owned. Limited Liability Company (PT) is a company whose capital is divided into shares.
     Based on Article 1 of the Company Law No.. 40/2007 terms Company Limited (the Company) is a legal entity which is a capital alliance, established under the agreement, conduct business activities with a total authorized capital divided into shares, and meet the requirements stipulated in this Law and its implementing regulations.

Legal Basis

     In particular, enterprises set up in a Limited Liability Company Act No. 40 of 2007 on Limited Liability Companies (Company Law), which effectively into force on August 16, 2007. Establishment of Procedures PT
  1. Preparation, among others: the agreement between the founders (at least 2 people or more) to be poured  in à notarial deed.
  2. Preparation of Deed, which includes AD and other Information relating to the establishment of the Company, performed in front of notary.
  3. Submission of an application (via the IT Services & dg preceded the submission of the company name) Approval by the Minister of Justice and Human Rights (if authorized submission can only be done by Notary) à filed no later than 60 days since tanggl deed is signed, completed ket dengang supporting documents. If a full minister implies no objection to the application in question electronically. No later than 30 days from the statement of no objection, the concerned shall submit a written request which is physically attached supporting documents, 14 days KMD BH Minister issued a decree ratification of the Company who signed electronically.\
  4. Company list (organized by the Ministry, in conjunction with Decree tangggal mengenahi BH Approval of the Company, approval of changes that require approval AD: AD Change Of receipt of notification that does not require approval, or receipt of Data Change Of Change Of Company which is not an AD).   5. Announcement in the Supplement to the State of RI (announcement in TBNRI hosted by the Minister, among others: deed of company and its Decree on the Ratification of the Company BH; deed of AD changes in its Decree as stipulated in Article 21 paragraph (1); Deed of change of AD who have received notice by the minister ).
Limited Liability Organization

Of some of the organizational structure, the organization perseoran are as follows:

  • General Meeting of Shareholders. AGM is a meeting of all shareholders of PT. These activities are usually carried out once every year or no later than 6 months after the lapse of the financial year. Moreover, it can also be held as requested by the board or shareholders.
  •  Board of Commissioners / Commissioners. If several people then called the Board of Commissioners, if composed of one person called the commissioner. Board of Commissioners / Commissioners serves as superintendent of the board of directors.
  •  Directors / Managers. Directors are appointed and dismissed by the AGM and is responsible for running the company's operations.
